What is a storage contract checklist for?

It helps you protect the stock your business depends on and build a reliable handover routine. A clear agreement can help prevent stock being held up in a dispute, make it easier to trace inventory, and give you a plan for getting every remaining item back when the contract ends.

What should you check about access and stock records?

  • Who is allowed to enter, inspect or collect stock? Write down how you authorise staff or agents.
  • How are visits arranged, and how does access work outside normal business hours if your order routine depends on it?
  • How will the provider identify stock at intake and record each receipt and release?
  • How will you report a discrepancy, get an updated stock list and check the records?
  • Keep your own dated inventory with quantities, product identifiers and condition notes. Match it against the provider’s records.

Who is liable if stored stock is lost or damaged?

Read the liability wording before signing. General assurances about security are not a substitute for a clear agreement about responsibility, reporting and evidence.

  • Which events are covered, and what exclusions or caps apply?
  • How quickly and by what method must you report a loss or damage claim?
  • What records, photos or other evidence will you need to provide?
  • Does the provider’s insurance cover your stock, or do you need to arrange your own cover?
  • Are promised safeguards—such as guards, alarms or CCTV—clearly described in the agreement, and how do they relate to the liability terms?

Can unpaid charges hold your stock back?

Check every retention, lien and unpaid-charge clause. Understand what could lead to stock being held, which charges the clause covers, and what notice and steps apply before goods can be sold or otherwise dealt with.

  • Does the clause relate only to charges for the goods in storage, or could it reach a wider account balance?
  • What must the provider tell you before holding or dealing with stock?
  • How can you raise a billing dispute without losing track of what is happening to your inventory?

How do you get your stock back when the contract ends?

Agree the exit plan on day one. Do not rely on an informal promise that you can collect later.

  • How can either party end the contract, and what notice method and address must be used?
  • What is the final collection date, and who is authorised to collect?
  • Which documents, receipts or approvals are needed before stock is released?
  • How will you reconcile the final stock list and handle any remaining goods?
  • How do you submit a release request, amend or cancel it, and receive proof that goods have left storage?

Easy-to-miss checks before you sign

  • Test the release process before an urgent customer order depends on it.
  • Make sure your inventory records, release requests and handover proof fit your day-to-day order workflow.
  • Get important promises written into the contract, not left as a verbal understanding.
  • Have a qualified Kenyan lawyer review unclear or high-impact liability, retention or disposal terms before you commit.
